Terms and Conditions

1. Introduction

The use of the domain www.aaclw.org and the Platform (as defined below) (the domain www.aaclw.org and the Platform referred to together as “Website”) is subject to the terms and conditions set forth below (“Terms and Conditions”). Your use of the Website indicates your acceptance of these Terms and Conditions; we recommend reading these Terms and Conditions carefully before using the Website and that you print a copy thereof for future reference.

If you do not agree to these Terms and Conditions, please exit the Website and be advised that you must not use it.

These Terms and Conditions refer to our privacy policy (“Privacy Policy”). The Privacy Policy applies to your use of the Website.

If you do not comply with these Terms and Conditions at all times when using this Website, we reserve the right to deny or restrict your access to the Website. These Terms and Conditions apply regardless of the means by which the Website was accessed, including, but not limited to, through the URL address, electronic mail, or links from other sites.

The headings of each Section of these Terms and Conditions do not affect interpretation.

The Sections of these Terms and Conditions are not set out or grouped in any particular order.

2. Construction

In these Terms and Conditions, the terms set out below shall (unless the context requires otherwise) have the following respective meanings:

AACLW

means “Association des Anciens du Collège Louise Wegmann”, any reference to “us”, “we”, “our” or other similar expressions is a reference to the AACLW;

Data

means information related to the User available on the Platform;

Platform

means the AACLW VeryConnect online alumni platform hosted on www.aaclw.org, including all its features, functionalities and data components from time to time.

The Platform is a CLW-exclusive online communication and networking platform and alumni directory.

Through the Platform, each alumni member may find other alumni members along with their respective information. Members can connect, communicate, find and post news of interest to the alumni community, get news about the AACLW and participate in alumni events.

The Platform also serves as a tool for the AACLW to communicate with alumni and to collect, process and use the data available to it in connection with its activities;

Registered User

has the meaning ascribed to it in Section ‎3.1.1(b). For the avoidance of doubt, a reference to “User” shall include a reference to a “Registered User”, but the converse shall not be true;

User

means any user of the Website. Any reference to “you”, “your” or other similar expressions is a reference to the User.

Other defined terms shall have the meaning set out in the Section in which that term is first used.

3. The Platform

3.1    Each alumni member of the CLW (“Member”) is assigned a profile on the Platform (“Profile”).
3.1.1    Profile creation:
(a)    The initial profile of a Member is created by the AACLW on the basis of the data it has on that relevant Member. Then, such Member will receive a confirmation link via email and is requested to update and/or confirm his Data and activate its Profile.
(b)    Upon activation of its Profile, the User becomes a registered user and will be formally required to agree to these Terms and Conditions (“Registered User”); an agreement will be deemed to have been concluded between the AACLW and the Registered User.
(c)    Only a Registered User may use the Platform. Each Registered User undertakes not to make use of the Platform in a harmful manner and not to cause any form of prejudice of any nature whatsoever to other Registered Users and/or the Members and/or the AACLW. In particular, each Registered User undertakes not to share any information related to any Member with any person that is not a Member unless it has received the prior written approval of that concerned Member.
For the avoidance of doubt, the foregoing is without prejudice to the fact that, regardless of whether or not a User has become a Registered User, these Terms and Conditions apply to any use of the Website by any User.
3.1.2    Subject always to the Privacy Policy, the Profile of a Member includes his contact information (phone, email, social media profiles) along with other information including his place of residence, work, prom year and age. Through the Platform, each Registered User is able to access and use the Data of a Member.
3.1.3    A Registered User always has the option to hide or remove certain Data on his Profile.

4. Rights you are granting us

4.1    Subject to our Privacy Policy, by becoming a Registered User, you grant us rights to use, process and store your Data in accordance with the functionality of the Platform and the needs of the AACLW.

4.2    You retain all ownership rights in your Data.

5. Modifications

5.1    We may update and make changes to our Platform from time to time as we may deem appropriate.
We are under no obligation towards Users to change or adjust the Platform, unless such change is required by law, court order or other binding order.

5.2   We may amend these Terms and Conditions from time to time. Every time these Terms and Conditions are amended, you will be informed via the Website. We do not have the responsibility to determine whether or not you have been informed of such.
You are advised to review these Terms and Conditions at each time you wish to use the Website in order to ensure you understand the terms that apply at that time. These Terms and Conditions were most recently updated on March 1st 2024.

6. Suspension or withdrawal

We do not guarantee that the Website, or any content on it, will always be available or be uninterrupted. We may suspend or withdraw or restrict the availability of all or any part of our Website for operational reasons. We will try to give you reasonable notice of any suspension or withdrawal.

7. Account safety

7.1    If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential and you must not disclose it to any third party.

7.2    We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our reasonable opinion you have failed to comply with any of the provisions of these Terms and Conditions.

7.3    If you know or suspect that anyone other than you knows your user identification code or password, you must promptly notify us at anciens@aaclw.org.

8. Intellectual property

8.1    The Website, including without limitation its programming, editing, compilation and other elements necessary for its functioning, the designs, logos, text, pictures, information and/or graphics are the property of AACLW or, if applicable, the latter has the licence or specific authorisation of the respective authors. All the contents of the Website are duly protected by intellectual and industrial property laws, and inscribed in the corresponding public registries.

8.2    Any designs, logos, pictures, text and/or graphics that may appear on the Website which do not belong to AACLW belong to their respective owners, and they themselves are responsible for any possible controversy that may arise with regard to them. In any case, AACLW holds the specific prior authorisation of said owners.

8.3    The User is committed to respect these rights, and therefore will not copy, reproduce, modify, distribute, transmit, publish, display or represent any of the contents of the Website by means other than those authorised by the Website to the effect, or those that are legitimately used on the internet and have been previously authorised, expressly and in writing by the provider. The User also undertakes not to engage in any other activity that may violate the intellectual property rights of AACLW or other Users.

9. Disclaimer

You specifically acknowledge that we do not and we are not under any obligation to assess the veracity or accuracy of any Data uploaded via the Platform by a Registered User, and such Data and other content provided by Users may in effect be inaccurate, wrong, untruthful, out-of-date, incomplete, misleading, illegal or otherwise harmful.

10. No text or data mining, or web scraping

10.1    You shall not conduct, facilitate, authorise or permit any text or data mining or web scraping in relation to our Website or any services provided via, or in relation to, our Website. This includes using (or permitting, authorising or attempting the use of):
10.1.1    Any “robot”, “bot”, “spider”, “scraper” or other automated device, program, tool, algorithm, code, process or methodology to access, obtain, copy, monitor or republish any portion of the Website or any data, content, information or services accessed via the same; and
10.1.2    Any automated analytical technique aimed at analysing text and data in digital form to generate information which includes but is not limited to patterns, trends and correlations.

10.2    This Section shall not apply insofar as, but only to the extent that, we are unable to exclude or limit text or data mining or web scraping activity by contract under the laws which are applicable to us.

11. We are not responsible for websites we link to

Where our Website contains links to other sites and resources provided by third parties, these links are provided for your information only. Such links should not be interpreted as approval by us of those linked websites or information you may obtain from them. We have no control over the contents of those sites or resources.

12. We are not responsible for websites we link to

12.1    You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.

12.2    You must not establish a link to our Website in any website that is not owned by you. Our Website must not be framed on any other site, nor may you create a link to any part of our site other than the home page. We reserve the right to withdraw linking permission without notice.

12.3    If you wish to link to or make any use of content on our Website other than that set out above, please contact anciens@aaclw.org.

13. How to complain about or report content

If you wish to complain about any content, please contact us on anciens@aaclw.org.

14. Liability

14.1    Save for gross negligence, wilful misconduct and fraud, we will not be liable to you for any loss or damage (including direct or indirect or consequential loss or damage) arising under or in connection with:
14.1.1    use of, or inability to use, our Website; or
14.1.2    use of or reliance on any content displayed on our Website.

14.2    You warrant that you will be liable to us and indemnify us for any breach of any warranty or obligation provided for in these Terms and Conditions.

15. Acceptable use policy

15.1    You must not upload any material that could incite a terrorist offence, solicit any person to participate in terrorist activities, provide instruction on any method or technique for committing a terrorist offence or threaten to commit a terrorist offence.

15.2    This Website, its content and any services provided in relation to the same are only targeted to, and intended for use by, individuals and entities that are not, and individuals and entities that are located in territories that are not, subject to economic or financial sanctions administered by the United Nations, the Organisation for Economic Co-operation and Development (OECD), the United States of America, the European Union and the World Bank.

By continuing to access, view or make use of the Website and any related content and services, you hereby warrant and represent to us that you are not subject to, and that you are not located in a territory that is subject to, any of the aforementioned sanctions. Otherwise, you must immediately discontinue use of the Website and any related content and services.

16. We are not responsible for viruses and you must not introduce them

16.1    We do not guarantee that our Website will be secure or free from bugs or viruses. You are responsible for configuring your information technology and computer programmes to access our Website. You should use your own virus protection software.

16.2    You must not misuse our Website by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access to our Website, the server on which our Website is stored or any server, computer or database connected to our Website. You must not attack our Website via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under applicable laws and regulations. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our Website will cease immediately.

17. Governing law and jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Lebanon and the courts of Beirut shall have authority over any dispute that may arise from the execution or interpretation of these Terms and Conditions.
